TERMS & CONDITIONS (TERMS OF USE)

This document is a legally binding agreement between you (“User”, “you”) and Kyzen Care Wellness LLP (LLPIN ADA-7866), the owner and operator of the Agelogix brand and website (“Agelogix”, “Company”, “we”, “us” or “our”).

Overview & Acceptance

These Terms & Conditions (“Terms”) govern your access to and use of www.agelogix.com (the “Website”), including browsing, creating an account and buying products. By accessing or using the Website, you agree to these Terms and to the policies referred to in clause 6. If you do not agree, please stop using the Website.

1. Eligibility

1.1 You may place orders only if you are 18 years or older and competent to contract under Indian law.

1.2 Anyone under 18 may browse the Website only under the supervision of a parent or legal guardian, who is responsible for any order placed.

1.3 Products are sold for personal use only, not for resale. We currently deliver within India only.

1.4 By using the Website, you confirm that you meet these requirements.

2. Account Registration

2.1 You may shop as a guest or create an account. If you create one, you agree to:

  • give accurate, current and complete information;

  • keep your account details up to date;

  • keep your login details confidential; and

  • tell us at once about any unauthorised access.

2.2 We are not liable for any loss caused by your failure to protect your login details.

2.3 We may suspend or close an account used for fraud or misuse, or in breach of these Terms.

3. User Conduct

You agree not to use the Website for any unlawful or prohibited purpose, including:

  • breaking any applicable law or regulation;

  • infringing our or anyone else’s intellectual property or other rights;

  • posting false, misleading, defamatory or fraudulent content, including fake reviews;

  • buying products for resale or commercial distribution without our written agreement;

  • interfering with the Website’s security or operation, or accessing it through automated tools; or

  • copying our content, product information or images for another product or website.

3.2 Reviews, ratings, photos and comments you post must reflect your honest experience, must be yours to share, must not infringe anyone’s rights, must not contain malware, and must not include anyone else’s personal data without their consent. You are solely responsible for content you post.

3.3 By posting, you allow us to display your content, with your first name or display name, on the Website and our social media, free of charge. You can ask us to remove it at any time.

3.4 Ideas, suggestions and feedback you send us may be used by us freely, without any duty to pay you or keep them confidential.

3.5 We publish genuine reviews, positive and negative, and do not publish paid reviews as independent ones. We may remove content that breaks these rules and stop your ability to post.

4. Intellectual Property

4.1 All content on the Website, including the Agelogix name and logo, product names, formulations, packaging designs, text, images, videos, artwork and software, belongs to Kyzen or its licensors.

4.2 You may view and share Website content for personal, non-commercial use only. No content may be copied, reproduced, distributed, modified or exploited for any other purpose without our prior written consent.

5. Links to Third-Party Websites and Services

  • The Website may link to third-party websites and services, such as our payment, courier and marketplace partners.

  • We do not control them and are not responsible for their content or practices.

  • You use them at your own risk and under their own terms.

  • A link does not mean we endorse the third party.

6. Policies (Binding)

6.1 Your use of the Website and purchase of products are also governed by these policies, which form part of these Terms:

6.2 Where a policy and these Terms differ on the same subject, the specific policy prevails to the extent of the inconsistency.

6A. Product Information & Use Disclaimer

6A.1 Product descriptions, ingredient lists, claims, visuals and directions are provided for general information.

6A.2 Agelogix products are cosmetics for external use only. They are not medicines and are not intended to diagnose, treat, cure or prevent any disease.

6A.3 Each product is formulated for the age range shown on its product page. Our product guidance and skin quiz give general cosmetic information, not medical advice.

6A.4 Results vary with skin type, lifestyle, climate and consistency of use. No specific outcome is guaranteed.

6A.5 Read the label, directions and cautions before use, and patch test before first use. If you have sensitive skin, allergies or a skin condition, or are pregnant or breastfeeding, consult a qualified professional first. Products containing retinoids, such as Agelogix 35, are not recommended during pregnancy or breastfeeding; use sunscreen daily while using them.

6A.6 Stop using a product and contact us if irritation persists; for any serious reaction, seek medical advice promptly. If you report a reaction, we will record and look into it as set out in our Privacy Policy, and may share details with the manufacturer or regulators where needed.

6A.7 Keep products out of reach of children and store them as directed on the pack.

6A.8 Product photos are for illustration. Packaging, colour and texture may differ slightly from what appears on your screen.

6A.9 Buy Agelogix products only from this Website or the official Agelogix stores on Amazon, Flipkart and Nykaa. We are not responsible for products bought elsewhere, which may be counterfeit, expired or tampered with.

6B. Orders, Pricing & Payment

6B.1 All prices are in Indian Rupees and are the Maximum Retail Price (MRP), inclusive of all taxes, unless an offer price is shown. Shipping charges are set out in our Shipping Policy and shown at checkout before you pay.

6B.2 All orders are prepaid through our payment partner Razorpay. We do not currently offer Cash on Delivery, and we do not store your full card details.

6B.3 Prices may change without notice. The price shown when you place your order applies to that order.

6B.4 Placing an order is an offer to buy. We accept it when we dispatch the product and send you a shipping confirmation.

6B.5 We may decline or cancel an order, with a full refund of any amount paid, where the product is out of stock, a product is listed at a clearly wrong price or with wrong information, we cannot deliver to your address, we reasonably suspect fraud or resale, or we need to limit sales to a person, household or delivery region. Where we reasonably believe an order is fraudulent, we may also report it to the relevant authorities.

6B.6 Where order details look incorrect or suspicious, we may verify the order by call, SMS or OTP before dispatch, and cancel it with a full refund if it cannot be verified.

6B.7 If you raise a payment dispute or chargeback for an order delivered as described, we may share proof of delivery with your bank or payment provider and suspend your account while it is reviewed.

6B.8 Offers and coupon codes are valid only for the period and on the terms stated with them. Unless stated otherwise, they cannot be combined, exchanged for cash or applied to past orders. We may withdraw an offer or cancel orders that misuse a code.

6B.9 You can cancel an order free of charge within 12 hours of placing it, or before it is dispatched, whichever is earlier. Cancellations, returns and refunds are governed by our Return & Refund Policy.

7. Electronic Contract

These Terms are an electronic record and a binding contract under the Information Technology Act, 2000, and need no physical or digital signature.

8. Consent to Electronic Form & Communications

8.1 You consent to receiving these Terms, order records and other communications in electronic form, and accept that they are valid as evidence.

8.2 By placing an order, you agree that we may contact you by SMS, email, phone call or WhatsApp about your order and delivery. We send promotional messages only with your consent, as set out in our Privacy Policy.

9. Platform Disclosure

The Website is built on the WooCommerce platform, payments are processed by Razorpay, and deliveries are handled through Shiprocket. All sales on the Website are made directly between you and Kyzen Care Wellness LLP. These service providers are not responsible for our products, refunds or disputes about orders placed on the Website.

10. Waiver & Changes to the Website

10.1 If we do not enforce a provision of these Terms immediately, we have not given up our right to do so.

10.2 We may change, suspend or discontinue any part of the Website, add rules for its use, or refuse service where we have a reasonable ground to do so, without liability to you.

11. Limitation of Liability & Disclaimer

11.1 The Website is provided on an “as is” and “as available” basis. We do not promise that it will be uninterrupted, error-free or free of viruses or other harmful components.

11.2 To the maximum extent permitted by law, we are not liable for loss caused by:

  • use of a product other than as directed, or after its expiry date;

  • reactions arising from a known allergy to a listed ingredient, or from a sensitivity not disclosed to us;

  • courier delays or events beyond our reasonable control;

  • temporary Website downtime; or

  • indirect or consequential loss of any kind.

11.3 Our total liability for any claim arising from an order is limited to the amount you paid for that order.

11.4 Replacements and refunds are governed by our Return & Refund Policy.

11.5 These limits also protect our partners, employees, agents and service providers.

11.6 Nothing in these Terms limits our liability where the law does not allow it to be limited, including under the product liability provisions of the Consumer Protection Act, 2019.

12. Indemnification

You agree to compensate Kyzen and its partners, employees and agents for any loss, claim or cost, including reasonable legal fees, arising from:

  • misuse of the Website or products;

  • breach of these Terms or our policies;

  • false or misleading information you submit;

  • unlawful content you post; or

  • resale of our products without permission.

13. Force Majeure

We are not responsible for delays or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, strikes, government action, logistics or payment network disruptions, and internet outages. If an order cannot be fulfilled, we will refund any amount paid.

14. Governing Law & Consumer Rights

14.1 These Terms are governed by the laws of India.

14.2 Nothing in these Terms limits the rights you have under Indian consumer protection law, including your right to approach a Consumer Commission.

14.3 Subject to clause 14.2, the courts at Ghaziabad, Uttar Pradesh have exclusive jurisdiction.

We acknowledge every complaint within 48 hours and aim to resolve it within one month of receipt.

16. Severability, Entire Agreement & Changes

16.1 If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

16.2 These Terms, together with the policies in clause 6 and the information on each product page, form the entire agreement between you and Kyzen for your purchase.

16.3 We may update these Terms from time to time. The version on the Website when you place an order applies to that order.

16.4 We may suspend or end your access to the Website if you breach these Terms.

16.5 Clauses that by their nature should continue, such as intellectual property, limitation of liability, indemnification and governing law, survive after you stop using the Website. Headings are for
